eFileit SERVICE - CONDITIONS OF BUSINESS


The eFileit service is provided by The London Law Agency Limited (and references in the below conditions to “we” and “us” relate to that company). References to “you” are to a person who has been registered as a client of the eFileit service and who makes use of that service.
 

1. eFileit
eFileit is a service which enables you to file certain company forms electronically at Companies House using our interface with Companies House, as described in the latest version of our eFileit Service Description available at www.eFileit.co.uk. All access to eFileit is subject to these conditions.

2. Account Reference and PIN Code
We will supply you with an Account Reference and PIN Code. You will need these to access eFileit. They will be used by us to identify your use of eFileit and to control access to and authorise filing at Companies House of forms originated by you.

3. Provision of eFileit
We will provide reasonable assistance by telephone in your use of the eFileit facility but we do not check or monitor your use of eFileit and the service does not include advice or assistance in legal or company secretarial matters. We may amend eFileit from time to time and publicise changes in the eFileit Service Description and on our website, www.eFileit.co.uk. eFileit will generally be available at least throughout usual business hours but access may sometimes be restricted or denied for maintenance, up-dating or other technical reasons. We do not accept responsibility for any problems with telecommunications systems or other failures outside our reasonable control. We reserve the right to discontinue or suspend access to eFileit at any time. eFileit does not include any rights to use our software or databases except as reasonably required in connection with use of the eFileit service.

4. Your use of eFileit
You will be responsible for any use of eFileit made using your allocated Account Reference and PIN Code until we receive notice from you to the contrary. In particular you must ensure that instructions given by you to eFileit are appropriate for your requirements and that all data entered by you is accurate and complete. You will ensure for us all rights necessary for the processing of the data and materials which you transmit to eFileit and will indemnify us accordingly.

5. Our responsibility
We can take no responsibility for the accuracy of the information transmitted to us by you for filing other than to pass such information on to Companies House accurately as received by us. We can take no responsibility for the accurate placing by Companies House on the public record of information transmitted using the eFileit service or for the timeliness of such placing on the public record. You should not assume that information has been accepted for filing by Companies House unless and until you have received from us a message through the eFileit Service notifying you that Companies House has confirmed such acceptance; furthermore, in matters of significance you should not assume that information has been placed accurately on the public record without yourself first checking the record of the company concerned at Companies House (e.g. by using the Companies House Direct service).

6. Your responsibility regarding defamation and copyright
We accept material for transmission on to Companies House only on the basis that those submitting the material are responsible for ensuring it is free from defamatory matter and does not infringe copyright or any other third party rights, and that those instructing us indemnify us accordingly.

7. Compliance with Laws and Money Laundering Regulations
You are responsible for ensuring your compliance with all laws and regulations applicable in connection with your use of eFileit. This includes (without limitation) compliance with the Data Protection Act 1998. You also confirm to us that you are bound by the Money Laundering Regulations 1993 and will abide by those Regulations, obtaining and recording where appropriate evidence of identity of third parties for whom (directly or indirectly) you use the eFileit service.

8. Agency
We accept instructions only on the basis that those instructing us do so as principals and are liable directly to us for payment of our charges and disbursements.

9. Charges
Our charges (and disbursements) for the use of eFileit will be as notified by us from time to time. The service is provided on a prepay or bulk pre-purchase basis only so that you must have to the credit of your eFileit account a sufficient amount to cover the cost of the eFileit charges (or have a balance of pre-purchased filings) and Companies House filing fees relative to an instruction, failing which the instruction will not be processed.

10. Third Party Rights
These conditions are not intended to be enforceable by any third party as provided by the Contracts (Rights of Third Parties) Act 1999.

11. Liability
Except in respect of claims for death or personal injury resulting from negligence or as otherwise prohibited by law, our liability for loss or damage (direct, indirect or consequential) arising out of any single claim, event, or series of related claims or events (including claims based on negligence) shall not exceed £5,000.

12. Jurisdiction
Our relationship with you (and, without prejudice to the provisions of clauses 8. and 10. above, with any parties for whom you might be acting) will be governed by English law and will be subject to the exclusive jurisdiction of the English courts.
